Terms of service
Last updated: 4 November 2026
1. Seller and scope
1.1 These General Terms and Conditions of Sale (the “Terms”) govern the sale of the products (the “Products”) offered on the website editionsmilano.com (the “Website”) by Editions S.r.l., with registered and operational office at Via Solferino 46, 20121 Milan, Italy, VAT No. and Tax Code 09618860960, REA No. MI-2102410, certified email (PEC) editions@pec.it, email customerservice@editionsmilano.com (“Editions Milano”).
1.2 These Terms apply both to customers who purchase for purposes outside their professional activity (“Consumers”: natural persons acting for purposes outside their trade, business, craft or profession, within the meaning of Article 3 of Italian Legislative Decree 206/2005, the “Consumer Code”, and of EU consumer protection law) and to customers who purchase in the course of their business (“Business Customers”). The protections of the Consumer Code apply only to Consumers. A person who purchases for purposes that are partly professional and partly personal is considered a Consumer if the professional purpose is not predominant.
1.3 The applicable Terms are those published on the Website at the time of the order. Before confirming an order, the Customer must read and accept them; a copy is sent with the order confirmation.
1.4 Business Customers only: a Business Customer declares, when placing the order and by selecting the relevant option, that they are acting in the course of their business, and provides their company name and VAT number (or equivalent tax identifier). Without this declaration, the purchase is treated as a Consumer purchase.
2. Products
2.1 The main characteristics of each Product are set out on its product page on the Website. Images are for illustration purposes.
2.2 Many Products are handmade from natural materials such as marble and stone. Variations in colour, veining and texture from one piece to another are inherent characteristics of the material and of the artisanal workmanship, and are not defects.
2.3 Instructions for use and care are given on the product page and accompany the Product. For example, natural marble is porous: when using vases with water, an inner container is recommended.
3. Made-to-measure and personalised Products
3.1 “Made-to-measure Products” are Products that are not prefabricated and are made on the basis of the Customer’s individual choice or decision (for example non-standard dimensions or workmanship requested to the Customer’s specifications), or that are clearly personalised (for example with engravings or other elements requested by the Customer). Standard catalogue Products are not Made-to-measure Products, even if available in several variants of material, colour or finish to be chosen from predefined options.
3.2 Made-to-measure Products are offered by written quotation, which states their characteristics, price and production time. The price must be paid in full when the order is placed. The contract is concluded when Editions Milano sends the order confirmation, after the Customer has accepted the quotation and paid the price; production begins once payment has been received.
3.3 Made-to-measure Products are produced in a single batch and delivered in a single shipment.
3.4 For Made-to-measure Products, the right of withdrawal is excluded pursuant to Article 59(1)(c) of the Consumer Code. The legal guarantee of conformity under clause 9 remains unaffected. The online withdrawal function referred to in clause 8.3 is not available for Made-to-measure Products.
3.5 The quotation states the production and delivery times, which prevail over the 30-day period referred to in clause 7.1, and contains the pre-contractual information required by Article 49 of the Consumer Code, including the information that the Consumer has no right of withdrawal for Made-to-measure Products. Before confirming the order, the Consumer acknowledges this exclusion by ticking a dedicated box. If the Made-to-measure Product is not produced or delivered for reasons attributable to Editions Milano, the price paid is refunded without delay.
4. Prices and shipping costs
4.1 Prices are stated in euros. For Consumers, prices include VAT.
4.2 Shipping costs are borne by the Customer and vary according to the country of destination and the number, weight and dimensions of the parcels. The amount is calculated and shown at checkout before the order is confirmed.
4.3 For deliveries outside the European Union, duties, import taxes and customs charges are borne by the Customer and may be collected by the courier on delivery, unless otherwise stated at checkout.
4.4 The price applied is the one published at the time of the order. In the event of a price reduction, the lowest price applied in the previous 30 days is shown, pursuant to Article 17-bis of the Consumer Code.
5. Orders and conclusion of the contract
5.1 The Customer selects the Products, enters the required details and confirms the order using the “Order with obligation to pay” button or equivalent wording. Before confirming, the Customer can check and correct the details entered.
5.2 The contract is concluded when Editions Milano sends the order confirmation by email, containing a summary of the order and these Terms.
5.3 Editions Milano may decline an order for justified reasons, such as unavailability of the Product, payment issues or suspected fraud. In such cases it informs the Customer and refunds any amount paid without delay.
6. Payment
6.1 Payment is made when the order is placed, using the methods shown at checkout, including credit and debit cards and Apple Pay. Payments are handled by Shopify and the integrated payment service providers: Editions Milano does not receive full card details.
6.2 Made-to-measure Products are also paid in full when the order is placed.
6.3 Invoices are issued on request. Business Customers must provide their company name, VAT number and, if resident in Italy, their SDI recipient code or PEC address.
7. Delivery
7.1 Delivery times are stated on the product page or in the order confirmation. If no time is stated, delivery takes place within 30 days of the conclusion of the contract. For Made-to-measure Products, the times stated in the quotation apply (clause 3.5).
7.2 In the event of delay, the Consumer may set an appropriate additional period; if delivery does not take place within that period, the Consumer may terminate the contract and obtain a refund, pursuant to Article 61 of the Consumer Code.
7.3 Delivery is made by courier to the address provided by the Customer.
7.4 The risk of loss of or damage to the Products passes to the Consumer upon delivery. For Business Customers, the risk passes when the Products are handed over to the courier, unless otherwise agreed.
7.5 Upon delivery, the Customer must check the number of parcels and the condition of the packaging and, in the event of any irregularity, accept the goods with a written reservation on the courier’s delivery document. Any transport damage should be reported as soon as possible to customerservice@editionsmilano.com, with photographs, so that the claim can be handled with the courier. For Consumers, this report does not affect their warranty rights. For Business Customers, any claims for transport damage, missing items or apparent non-conformities must be sent in writing, with photographs, within 8 days of delivery, failing which the right to claim is lost.
7.6 If the Customer does not collect the goods within the time set by the courier, the goods are returned to Editions Milano. Editions Milano refunds the price, less the shipping and return costs actually incurred.
8. Right of withdrawal (Consumers only)
8.1 The Consumer may withdraw from the contract without giving any reason within 14 days of the day on which they take physical possession of the Products, pursuant to Articles 52 et seq. of the Consumer Code.
8.2 The right of withdrawal is excluded for Made-to-measure and personalised Products as defined in clause 3, pursuant to Article 59(1)(c) of the Consumer Code.
8.3 To withdraw, the Consumer may, at their choice:
- use the “Withdraw from contract here” function, available throughout the withdrawal period on the order page (accessible also without an account through the link in the order confirmation) and in the customer area of the Website, for Products for which withdrawal is permitted only, confirming with the “Confirm withdrawal” button, pursuant to Article 54-bis of the Consumer Code;
- send the model withdrawal form attached below, or any other unequivocal statement, to customerservice@editionsmilano.com or by PEC to editions@pec.it.
Editions Milano acknowledges receipt of the withdrawal without delay on a durable medium.
8.4 The Consumer must return the Products, intact and if possible in their original packaging, by courier to Editions S.r.l., Via Solferino 46, 20121 Milan, Italy, within 14 days of notifying the withdrawal. The direct cost of returning the Products is borne by the Consumer.
8.5 Editions Milano refunds all payments received, including standard delivery costs, within 14 days of receiving the notice of withdrawal, using the same means of payment used for the purchase. The refund may be withheld until the Products have been received back or until the Consumer has supplied evidence of having sent them back, whichever is earlier.
8.6 The Consumer is liable only for any diminished value of the Products resulting from handling other than what is necessary to establish their nature, characteristics and functioning.
8.7 Business Customers only: no right of withdrawal, whether statutory or contractual, applies to Business Customers. Returns are accepted only if agreed in writing with Editions Milano.
9. Legal guarantee of conformity
9.1 Consumers: Editions Milano is liable for any lack of conformity that becomes apparent within 2 years of delivery, pursuant to Articles 128 et seq. of the Consumer Code. The guarantee also applies to Made-to-measure Products. The Consumer may report the defect by writing to customerservice@editionsmilano.com, attaching photographs where possible; reporting is not a condition for exercising guarantee rights. Claims are time-barred 26 months after delivery and, unless proven otherwise, any lack of conformity that becomes apparent within one year of delivery is presumed to have existed at the time of delivery, as provided for by the Consumer Code. The Consumer is entitled, free of charge, to have the Product repaired or replaced and, in the cases provided for by law, to a price reduction or to terminate the contract.
9.2 The natural variations in materials described in clause 2.2 do not constitute a lack of conformity, nor does damage caused by improper use or by care that does not follow the instructions provided.
9.3 Business Customers only: the warranty against defects under Articles 1490 et seq. of the Italian Civil Code applies. Pursuant to Article 1495 of the Italian Civil Code, defects must be reported in writing within 8 days of discovery, and claims are time-barred one year after delivery.
9.4 Business Customers only: the warranty against defects is provided, at Editions Milano’s choice, by repairing or replacing the defective Product or, if this is impossible or disproportionate, by reducing the price or issuing a refund. Editions Milano is not liable for indirect damage, loss of profit or consequential damage, and its total liability to the Business Customer shall not exceed the price of the Products subject to the claim. These limitations do not apply in cases of wilful misconduct or gross negligence, defects concealed in bad faith, personal injury, or other cases in which liability cannot be limited by law.
10. Force majeure
Editions Milano is not liable for delays caused by events beyond its reasonable control, such as strikes, transport disruptions, measures taken by public authorities or natural events. In such cases, it informs the Customer without delay. The Consumer’s rights under the Consumer Code remain unaffected, including the right to terminate the contract and obtain a refund.
11. Intellectual property
Texts, images, trademarks, designs and all other content on the Website are the property of Editions Milano or its licensors and may not be reproduced without written authorisation.
12. Personal data
The Customer’s personal data is processed in accordance with the Privacy Policy published on the Website.
13. Customer service, complaints and dispute resolution
13.1 For assistance and complaints, the Customer can write to customerservice@editionsmilano.com. Editions Milano replies within 7 working days.
13.2 Editions Milano adheres to ADR Center in Rome, an alternative dispute resolution (ADR) body. The Consumer may in any case refer to the ADR bodies listed in the official registers.
14. Governing law and jurisdiction
14.1 The contract is governed by Italian law. If the Consumer resides in another country, the choice of Italian law does not deprive them of the protection afforded by the mandatory provisions of the law of their country of habitual residence, which continue to apply. For Business Customers: the application of the 1980 United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
14.2 For disputes with Consumers resident in Italy, the court of the place of the Consumer’s residence or domicile has jurisdiction. For Consumers resident in other countries, jurisdiction is determined in accordance with the applicable law, which these Terms do not limit.
14.3 Business Customers only: the Court of Milan has exclusive jurisdiction over any dispute.
15. Final provisions
15.1 If any provision of these Terms is void or ineffective, the remaining provisions remain valid.
15.2 These Terms are drawn up and published in English, which is the only contractual version. Any translations are provided for convenience only; in the event of any conflict, the English version prevails, without prejudice to mandatory consumer protection rules and to the principle of interpretation most favourable to the Consumer.
15.3 Business Customers only: pursuant to Article 1341(2) of the Italian Civil Code, the Business Customer specifically approves the following clauses: 3.2 and 6.2 (advance payment), 7.4 (passing of risk), 7.5 (defects and non-conformities), 8.7 (exclusion of withdrawal), 9.3 and 9.4 (warranty, notice periods and limitation of liability), 10 (force majeure), 14.3 (exclusive jurisdiction). Approval is given online through a dedicated checkbox, separate from the general acceptance of the Terms, not pre-ticked and required to complete the order, next to which the clauses listed are reproduced in full.
15.4 Editions Milano keeps evidence of the acceptance of the Terms and of the specific approval (date and time, IP address, version of the Terms, order number) and sends a copy with the order confirmation.
